Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Heidi Dev, Inc. ("Heidi Dev, Inc.," "we," "us," or "our") governing access to and use of the Heidi product and related websites, APIs, dashboards, agents, hosting, and services available at heidi.dev, including customer sites on heidi.site and custom domains (collectively, the "Services").
Heidi is a vibe-coding platform: describe what to build in plain English, and Heidi helps you build, preview, version, and publish sites and apps on Heidi's own auth, database, CMS, hosting, and CDN.
By creating an account, accessing the Services, or clicking to accept these Terms, you agree to them. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Services.

1. Eligibility and accounts
You must be at least 16 years old and capable of forming a binding contract to use the Services. You must provide accurate account information and keep it updated. You are responsible for safeguarding credentials and for activity under your account. Notify us promptly at support@heidi.dev of any unauthorized use.
We may refuse, suspend, or terminate accounts that violate these Terms, present security risk, or are required by law to be restricted.
2. The Services
Heidi provides AI-assisted software building, preview, versioning, publishing, and related platform primitives (including optional auth, data/CMS, email, payments, domains, and CDN). Features may be added, changed, or discontinued. Some capabilities may be limited, queued, operator-assisted, experimental, or unavailable in your region or plan.
We do not guarantee uninterrupted or error-free operation, particular build times, or that any generated application will be fit for a particular purpose, pass third-party app-store review, or comply with laws applicable to your business without your own review.
3. AI-generated output — critical disclaimers
The Services use artificial intelligence and automated systems. Outputs (including code, copy, designs, plans, configurations, and recommendations) may be incorrect, incomplete, insecure, non-compliant, infringing, or otherwise unsuitable. You are solely responsible for reviewing, testing, securing, and approving all outputs before relying on them, publishing them, or using them in production.

- No warranty of uniqueness, non-infringement, or merchantability for AI outputs
- You must not rely on the Services as the sole control for safety-critical, life-critical, or high-risk systems
- You must not submit unlawful content or content you do not have rights to process
- Model providers process prompts and context as described in our Privacy Policy
4. Your content and license to Heidi
You retain ownership of content you submit to the Services ("User Content"), including prompts, source files, assets, and CMS data, subject to third-party rights and open-source licenses that may apply to generated or incorporated materials.
You grant Heidi Dev, Inc. a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, transmit, display, and create derivative works from User Content solely as needed to provide, secure, maintain, and improve the Services (including running AI models, building previews, publishing sites, providing support you request, and preventing abuse).
You represent that you have all rights necessary to submit User Content and to grant the license above, and that User Content does not violate law or third-party rights.
5. Heidi intellectual property
The Services, including software, agents, documentation, branding, and the Heidi platform (excluding User Content), are owned by Heidi Dev, Inc. and its licensors. These Terms do not transfer any ownership of our IP to you. You may not copy, modify, reverse engineer (except to the limited extent permitted by law), or create competing foundational services by misusing our platform APIs or agent tooling beyond permitted use.
Feedback you provide may be used by us without restriction or compensation.
6. Acceptable use
You will not, and will not allow others to:
- Violate applicable law, including export controls, sanctions, privacy, IP, and computer-fraud laws
- Build, host, or distribute malware, ransomware, phishing, spyware, or deceptive credential-harvesting systems
- Attempt unauthorized access to the Services, other tenants, or related systems
- Interfere with or disrupt the Services (including abusive automation, cryptomining on shared infrastructure, or load testing without permission)
- Use the Services to exploit minors or to create or disseminate child sexual abuse material
- Upload or generate unlawful deepfakes, non-consensual intimate imagery, or content that facilitates violent crime
- Misrepresent your identity to Google, GitHub, payment providers, registrars, or end users
- Resell the Services except as expressly permitted in a written enterprise agreement
- Circumvent plan limits, security controls, or billing mechanisms
- Use clone or browser-test features to attack, scrape unlawfully, or violate third-party terms
We may investigate violations and suspend or terminate access, remove content, and report to authorities.
7. Customer applications, Heidi Auth, and end users
If you publish an application on Heidi, you are responsible for that application's compliance with law, its own terms and privacy notice, end-user support, and any content or data your end users submit. Heidi Auth, Data/CMS, Email, Payments, and hosting features are infrastructure you configure; unless a separate data processing agreement says otherwise, you are the controller of end-user personal data and we act as processor/service provider for that data.
You must not use Heidi Auth or related identity features in a child-directed app in a manner that violates COPPA or Google's child-directed app rules for Google Sign-In.
8. Third-party services
The Services interoperate with third parties (including Google, GitHub, Stripe, Cloudflare, Convex, Vercel, AI model providers, and optional workspace connections). Their terms and privacy policies govern your use of those services. We are not responsible for third-party services we do not control.
9. Plans, fees, and taxes
Paid plans, usage-based fees, and domain fees are described in-product or at checkout. Fees are billed through Stripe or other designated processors. Except where required by law or expressly stated at purchase, fees are non-refundable. You authorize us and our payment processor to charge your payment method for recurring subscriptions until canceled. You are responsible for applicable taxes.
We may change prices with notice as required by law or your plan terms. Failure to pay may result in suspension.
10. Domain names
Domain registration, renewal, transfer, and WHOIS/registrant requirements are subject to registrar and registry rules (including ICANN policies where applicable). Domain purchases and renewals are generally final once successfully registered. You must provide accurate registrant contact information; you (not Heidi) are the legal registrant unless a written agreement states otherwise. We may suspend DNS or hosting for domains used in violation of these Terms or law.
11. Confidentiality
If we exchange non-public business information under an NDA or marked confidential, each party will protect it with reasonable care and use it only for the permitted purpose. User Content is handled under Section 4 and the Privacy Policy; it is not automatically "Confidential Information" of yours for purposes of restricting our operation of the Services.
12. Beta and pre-release features
Beta, preview, or experimental features are provided AS IS, may be unstable, and may be withdrawn at any time. They may be subject to additional terms.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR FIT FOR YOUR USE CASE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Heidi Dev, Inc. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO Heidi Dev, Inc. FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted.
15. Indemnification
You will defend, indemnify, and hold harmless Heidi Dev, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your applications and end users; (c) your use of the Services in violation of these Terms or law; (d) your domain registrations and registrant data; or (e) disputes between you and your end users or third parties.
16. Suspension and termination
You may stop using the Services at any time and may request account closure via support channels. We may suspend or terminate access immediately for violations, legal risk, non-payment, security incidents, or discontinuation of the Services. Upon termination, your license to access the Services ends. Provisions that by their nature should survive (including IP, disclaimers, limitations, indemnity, and governing law) will survive.
17. Export and sanctions
You may not use the Services if you are located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, or if you are on any U.S. government restricted-party list. You will comply with all applicable export control and sanctions laws.
18. U.S. government terms
If you are a U.S. government user, the Services are commercial computer software and commercial computer software documentation provided with only those rights customarily provided to the public under these Terms.
19. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Subject to any mandatory consumer protections that cannot be waived, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction there.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at the legal email below and allowing thirty (30) days to respond.
Class action waiver: to the maximum extent permitted by law, disputes must be brought in an individual capacity only, not as a plaintiff or class member in any class, collective, or representative proceeding.
20. Changes to these Terms
We may modify these Terms by posting an updated version at heidi.dev/terms and updating the version and dates. Material changes will be effective on the stated effective date. If you continue using the Services after changes become effective, you accept the revised Terms. If you do not agree, you must stop using the Services and close your account.
21. Miscellaneous
- Entire agreement: these Terms and the Privacy Policy (and any order form or enterprise agreement that expressly supersedes them) are the entire agreement regarding the Services
- Severability: if a provision is unenforceable, the remainder stays in effect
- No waiver: failure to enforce a provision is not a waiver
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets
- Force majeure: we are not liable for delays or failures caused by events beyond reasonable control
- Notices: we may notify you via email, in-product message, or posting on heidi.dev; legal notices to us go to the legal email below
- No third-party beneficiaries except as expressly stated for indemnified parties
